Terms of Service

1. Agreement to Terms. By accessing the website 321labs.ai or engaging 321 Labs ("we," "us," or "our") for any services, you ("Client") agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
2. About Our Services. 321 Labs provides AI consulting services to small businesses, including:
AI readiness assessments and consulting
AI training for owners and teams
Workflow automation design and implementation
Special and custom projects
Specific deliverables, timelines, and pricing are defined in individual Statements of Work (SOW) or service agreements entered into between 321 Labs and each Client.
3. Engagements and Proposals. All service engagements begin with a written proposal or statement of work. Work does not begin until a proposal has been accepted and any applicable deposit received. We reserve the right to decline any engagement at our discretion.
4. Payment Terms. Fees are outlined in the applicable proposal or SOW. Unless otherwise agreed in writing, invoices are due within 14 days of issuance. Late payments may incur a late fee of 1.5% per month on outstanding balances. Deposits are non-refundable unless otherwise specified in writing.
5. Client Responsibilities. To allow us to deliver our services effectively, you agree to:
Provide accurate and complete information about your business, systems, and goals
Make designated team members available for consultations, training, and feedback
Review and approve deliverables within agreed timelines
Comply with all applicable laws regarding the use of AI tools and automated systems we help implement
6. Intellectual Property.
Work product: Upon full payment, Client owns all custom deliverables created specifically for their engagement.
Background IP: 321 Labs retains ownership of pre-existing tools, frameworks, templates, and methodologies used in delivering services. We grant Client a non-exclusive license to use these as part of the deliverables.
Third-party tools: Some workflows may incorporate third-party AI platforms or software. Client is responsible for obtaining any required licenses for ongoing use.
7. Confidentiality. Both parties agree to keep confidential any non-public information shared during an engagement. This obligation survives termination of the engagement for a period of 2 years. Exceptions apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Satisfaction Guarantee. We stand behind our work. If you are not satisfied with a deliverable, notify us in writing within 7 days of delivery and we will work with you to address your concerns. Our guarantee covers reasonable revisions within the original project scope; it does not entitle Client to a full refund for completed work.
9. Limitation of Liability. To the maximum extent permitted by law:
321 Labs' total liability for any claim arising from our services shall not exceed the total fees paid by Client in the 3 months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
We do not guarantee specific business outcomes from the use of AI tools or workflows we help implement.
10. Termination. Either party may terminate an engagement with 14 days' written notice. Upon termination:
Client is responsible for payment of all work completed to date.
321 Labs will deliver any completed work product for which payment has been received.
Confidentiality obligations survive termination.
11. Dispute Resolution. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Pennsylvania, USA.
12. Governing Law. These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
13. Changes to These Terms. We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
